1. Agreement to Terms
This End-User License Agreement (“Agreement”) is between Ridge Equipment Company, Inc. (“Company”) and you, an authorized employee or contractor of the Company. By accessing or using the QuickBooks Integration Application (“App”), you agree to be bound by this Agreement.
2. License Grant
The Company grants you a limited, non-exclusive, non-transferable license to access and use the App solely for internal business purposes in connection with your employment or authorized engagement with the Company.
3. Restrictions
You agree not to:
- Use the App for any purpose outside the scope of your employment or engagement with the Company
- Share your access credentials with unauthorized individuals
- Attempt to reverse engineer, decompile, or disassemble the App
- Use the App in any manner that could damage, disable, or impair the application or company systems
- Remove or modify any proprietary notices from the App
4. Proprietary Rights
The App and all related intellectual property rights are and shall remain the exclusive property of Ridge Equipment Company, Inc. This Agreement does not convey any ownership rights to you.
5. Data and Confidentiality
You acknowledge that the App accesses sensitive company data including vendor information, purchase orders, and financial records. You agree to maintain the confidentiality of all data accessed through the App and to use such data only for legitimate business purposes.
6. Term and Termination
This license is effective until terminated. The Company may terminate your access at any time, with or without cause. Your license will automatically terminate upon the end of your employment or engagement with the Company. Upon termination, you must cease all use of the App.
7. Disclaimer of Warranties
THE APP IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE APP.
9. Compliance with Laws
You agree to use the App in compliance with all applicable federal, state, and local laws and regulations, as well as all Company policies and procedures.
10. Modifications
The Company reserves the right to modify this Agreement at any time. Continued use of the App following any modifications constitutes acceptance of the modified terms.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions.
12. Entire Agreement
This Agreement constitutes the entire agreement between you and the Company regarding the use of the App and supersedes all prior agreements and understandings.
